License Agreement
LICENSE AGREEMENT
S.T. Japan-Europe GmbH
1. GRANT OF LICENSE S.T. Japan-Europe GmbH (“STJ”) grants you a non-exclusive, non-transferable license to use the Licensed Products on a single central processing unit (“CPU”), unless you have purchased a site license, in which case usage is limited to the number of CPUs specified in the site license. You may create a single backup copy for archival purposes.
License Transfer: The Licensed Products may be transferred to another CPU only if (i) the original installation is fully removed, and (ii) STJ is notified in writing and provides written approval for the transfer. Unauthorized transfers are strictly prohibited.
2. COMPATIBILITY & SUPPORT LIMITATIONS STJ provides the Licensed Products "as is" and does not guarantee compatibility with all future operating systems (OS), software versions, or hardware environments.
· If an OS or software becomes outdated and is no longer supported by its manufacturer, STJ cannot guarantee continued functionality of the Licensed Products.
· If STJ releases significant database updates that alter the structure or format of the Licensed Products, older versions may no longer function as expected.
· To ensure continued compatibility, users are advised to maintain up-to-date systems and use the latest version of the Licensed Products.
The Licensee acknowledges that future updates to operating systems, security protocols, or third-party software may impact the functionality of the Licensed Products. STJ is not responsible for ensuring compatibility with future versions of third-party software, operating systems, or hardware.
3. LICENSEE'S OBLIGATIONS The Licensee must not:
· Distribute, sell, sublicense, or share the Licensed Products with third parties.
· Modify, reverse engineer, decompile, disassemble, or systematically extract data from the Licensed Products.
· Circumvent or attempt to bypass copy protection measures.
· Use artificial intelligence (AI), machine learning, automated scripts, or any other technology to replicate or extract content from the Licensed Products.
The Licensee is responsible for securing access to the Licensed Products and preventing unauthorized use.
4. UPDATES & ADDITIONS TO LICENSED PRODUCTS STJ may release updates or additional databases from time to time. These may be:
- Minor updates (bug fixes, small additions) – provided free of charge.
- Major updates (substantial modifications or new features) – may require an additional purchase.
Licensees are not entitled to future updates unless explicitly included in the purchase agreement.
5. TERMINATION This Agreement remains in effect until terminated. The Licensee may terminate the Agreement at any time by destroying all copies of the Licensed Products.
STJ reserves the right to terminate the Agreement immediately and without notice if:
· The Licensee breaches any terms of this Agreement.
· STJ discontinues the Licensed Products or support for the current version.
Upon termination, the Licensee must destroy all copies of the Licensed Products and cease usage.
If STJ discontinues support or ceases operations, Licensees may continue using the Licensed Products in their current form, but STJ makes no guarantees regarding future compatibility, security, or usability. No further updates, support, or warranties will be provided beyond the last available version.
6. LIMITED WARRANTY & DISCLAIMER OF WARRANTIES Except for the limited 90-day warranty on physical media, the Licensed Products are provided ‘as is’ without any express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
STJ's liability under this Agreement shall in no case exceed the amount paid for the Licensed Products. STJ is not responsible for loss of data, business interruption, or indirect, incidental, or consequential damages arising from use of the Licensed Products.
STJ and any third party involved in the creation, production, or delivery of the Licensed Products disclaim all other warranties, expressed or implied, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. STJ and any third party involved in the creation, production, or delivery of the Licensed Products shall not be liable for any direct, indirect, consequential, exemplary, punitive, or incidental damages arising from any cause even if STJ or such third party has been advised of the possibility of such damages.
In no event will STJ and any third party involved in the creation, production, or delivery of the Licensed Products be liable for any amount greater than what you actually paid for the Licensed Products. Should any other warranties be found to exist, such warranties shall be limited in duration to ninety (90) days following the date of delivery of the Licensed Products.
7. REFUND POLICY If you do not agree to the terms of this Agreement, do not open the package or use the Licensed Products. Promptly return the entire package to the place of purchase for a full refund. Refunds will not be issued if the package has been opened or if the Licensed Products have been used.
8. EXPORT RESTRICTIONS & COMPETITION CLAUSE The Licensee agrees not to:
· Export, re-export, or transfer the Licensed Products in violation of applicable export control laws.
· Use the Licensed Products to develop or test software that directly competes with STJ’s offerings.
· Use the Licensed Products in a way that circumvents STJ’s commercial interests.
These obligations survive termination of the Agreement.
9. MULTI-USER LICENSE TRANSFERABILITY For Licensees with multi-user or site licenses, transfers of the Licensed Products must adhere to the usage limits specified in the license agreement. Redistribution within the same organization is permitted only for authorized users and within the licensed CPU count. Any additional usage requires an expanded license agreement with STJ.
10. GOVERNING LAW & FINAL AGREEMENT This Agreement shall be governed by and construed in accordance with the laws of Germany, Japan, and the USA. It supersedes all prior agreements related to the Licensed Products.
